This FinChip Terms of Use contains the terms and conditions that govern your access to and use of FinChip's services and products and is an agreement between FinChip ("we," "us," or "our") and you ("the User", "you", or "your"). This Terms of Use takes effect when you start accessing and using FinChip's services and products (the "Effective Date"). You represent to us that you are lawfully able to enter into this agreement, for example that you are not a minor.

FinChip is open to all users worldwide. Accessing our services and products and submitting your information are strictly voluntary. By doing so, you are giving FinChip permission to use your information for the intended purpose. It is important for you to read this Terms of Use carefully before making any decision.

You should read this Terms of Use in full. If you do not agree with this Terms of Use, if you are not lawfully able to enter into contracts, or if you are under 18 years of age, you are not permitted to use FinChip's services and products and should stop accessing them. Your access to and use of our services and products means that you accept this Terms of Use.

We may update this Terms of Use from time to time and the update will be effective when we post it. Your continued access to and use of our services and products will be deemed your consent to the updated version. You shall also comply with FinChip's other terms and conditions, Privacy Policy, disclaimers, other policies, and any other applicable rules as updated by FinChip on its website and app from time to time.

We reserve the sole and absolute right to contact you, or to remove or suspend your account or accounts if we suspect your use of our services or products violates this Terms of Use, any other policy, or other applicable rules and laws. Your access to or use of our services and products shall automatically terminate.

1. General Terms of Use

Acknowledgement of Risks

  • ›The User understands and accepts that the underlying software application and software platform, the internet, the blockchain network, the Product, and other involved software, technology components, and platforms related to FinChip's services and products may be exposed to attacks by hackers or other individuals that could result in theft, falsification, tampering, or loss of the User's account, personal information, and economic or financial interests associated with the account.
  • ›The User understands and accepts that public blockchain-based systems depend on independent validators, and therefore may be vulnerable to consensus attacks including but not limited to double-spend attacks, majority voting power attacks, race condition attacks, and censorship attacks. Any successful attack presents a risk to such systems and their expected execution and sequencing, including possible loss of the User's entire assets and personal information.
  • ›The User understands and accepts that FinChip's platform is built on an in-built decentralized governance system. It is possible that the decentralized governance system adopts proposals that adversely affect the useful functioning of such networks. If the governance system is attacked, or becomes controlled directly or indirectly by a party that makes unwise decisions, or if the community generally makes unwise decisions, the User's assets and personal information might be greatly impacted or completely lost.

The User understands and accepts that the software, hardware, technology, and technical concepts usually used by FinChip are still in an early stage of development and remain unproven. There is no warranty that FinChip's services, products, or related technology will be fully developed, uninterrupted, or error-free, and there is an inherent risk that the technology could contain weaknesses, vulnerabilities, or bugs causing, among other things, the complete loss of the User's entire assets and personal information. There is no guarantee that FinChip's platform will be fully delivered or remain operational for any period of time.

Data Privacy

If the User provides any personal information to FinChip, such personal information will be shared and used in accordance with FinChip's Privacy Policy. The User shall read this Privacy Policy carefully and reach out to FinChip immediately at: xxxxxx if the User has any questions or concerns about personal information so that FinChip can take steps to ensure compliance with applicable data privacy laws and regulations.

Restricted Jurisdictions

The User is fully aware of FinChip's restricted jurisdictions. The following jurisdictions are deemed restricted, including but not limited to: Afghanistan, Algeria, Angola, Bahamas, Barbados, Bangladesh, Bolivia, Bosnia and Herzegovina, Botswana, Burkina Faso, Cambodia, Canada, China, Colombia, Cook Islands, Crimea Region, Cuba, Ecuador, Eritrea, Ethiopia, Ghana, Guyana, Iran, Iraq, Jamaica, Kenya, Kosovo, Kuwait, Laos, Lebanon, Libya, Mauritius, Montserrat, Morocco, Myanmar (Burma), Nauru, Nepal, Nicaragua, North Korea, Pakistan, Palestinian Territory and Gaza Strip, Panama, Papua New Guinea, Samoa, Sao Tome and Principe, Senegal, Somalia, South Sudan, Sri Lanka, Sudan, Syria, Tonga, Trinidad and Tobago, Tunisia, the United States of America, Uganda, Vanuatu, Venezuela, Yemen, and Zimbabwe, as well as all member states of the European Union and the European Economic Area, the United Kingdom including England, Scotland, Wales, and Northern Ireland, all other sovereign states recognized by the United Nations as part of Europe, and any autonomous or special territories with distinct legal systems such as Gibraltar, Faroe Islands, and Aland Islands.

Source of Funds and Anti-Money Laundering Compliance

You are solely responsible for the assets that you transact on FinChip's platform. You represent, warrant, and covenant that all funds and assets invested through FinChip's platform are derived from legitimate sources and are not the proceeds of any criminal or illegal activity. You assume sole responsibility for ensuring the legality and compliance of your source of funds with all applicable anti-money laundering and counter-terrorism financing laws and regulations.

Under no circumstances shall FinChip, its affiliates, or its officers be held liable for any legal consequences arising from the User's breach of this representation. The User agrees to indemnify and hold FinChip harmless from any claims, losses, or liabilities, including legal fees, resulting from any investigation or action related to the legitimacy of the User's funds.

Blockchain tokens are usually accessed using a private key that corresponds to the address at which they are stored. The User understands and accepts that if the private key, or the seed used to create the address and corresponding private key, is lost or stolen, the assets might be unrecoverable and permanently lost. The User shall hold FinChip free and harmless in connection with lost or stolen assets.

FinChip has sole and absolute discretion to review, remove, and delete any inappropriate content with or without notice to the User and without liability. FinChip may also suspend or terminate the User's account or access to its services and products if there is any inappropriate behavior or transaction by the User, again without any liability to FinChip. FinChip also reserves the right to investigate and take legal action against any User who engages in inappropriate behavior or transactions.

Access to FinChip's platform, and all of its content, is provided on an "as-is" and "as-available" basis.

FinChip reserves the right, without notice, at its sole discretion and without liability, to alter, delete, or block access to any User account that it deems inappropriate or insufficiently protected, and to restrict or remove User access where it considers that use of FinChip interferes with operations or violates these Terms of Use, the Privacy Policy, disclaimers, or applicable policies, laws, and regulations.

This Terms of Use, the Disclaimer, and the Privacy Policy are subject to change by FinChip at any time and without notice other than posting the updated terms on FinChip's website.

FinChip may contain links to third-party websites created and maintained by other public or private organizations. The presence of a link is not a FinChip endorsement of the site. When users follow a link to an outside website, they leave FinChip's platform and become subject to the Terms of Use, privacy policy, and any other policies of the owners or sponsors of the outside website. FinChip is not responsible for the actions or practices of non-FinChip sites.

Intellectual Property; Limited License to Users

All content on FinChip's website, including but not limited to images, footage, and related metadata, collectively the "FinChip Content", as well as the selection and arrangement of that content, are FinChip's intellectual property. Except as expressly provided here or in a separate agreement, FinChip does not grant any express or implied permission to use any FinChip Content.

You agree not to copy, republish, frame, link to, download, transmit, modify, adapt, create derivative works based on, rent, lease, loan, sell, assign, distribute, display, perform, license, sublicense, or reverse engineer FinChip Content. You also agree not to use any data mining, robots, or similar data or image gathering and extraction methods in connection with FinChip's website.

Important Intellectual Property Notice

  • ›For any image, footage, text, audio, or other content that you upload or post to FinChip ("Your Content"), you represent and warrant that: (i) you have all necessary rights to submit Your Content to FinChip and grant the licenses set forth herein; (ii) FinChip will not need to obtain licenses from or pay royalties to any third party with respect to Your Content; (iii) Your Content does not infringe any third party's rights, including intellectual property rights and privacy rights; and (iv) Your Content complies with these Terms of Use and applicable laws and regulations.
  • ›By uploading Your Content, you grant FinChip a limited, worldwide, non-exclusive, royalty-free license and right to copy, transmit, distribute, publicly perform and display, through all media now known or later created, and make derivative works from Your Content for the purpose of allowing you to edit and display Your Content using FinChip and for archiving or preserving Your Content for disputes, legal proceedings, or investigations. These licenses continue for an unlimited time unless and until you expressly contact FinChip and receive written confirmation that Your Content has been removed from FinChip, in which case the licenses terminate within a commercially reasonable period. Notwithstanding the foregoing, the license for legal archival and preservation purposes continues indefinitely.
  • ›You may not upload, post, or transmit any video, image, text, audio recording, or other content that:
  • ›infringes any third party's copyrights, other intellectual property rights, publicity rights, or privacy rights;
  • ›contains pornographic, defamatory, unlawful, or otherwise immoral content;
  • ›exploits minors;
  • ›depicts unlawful or violent acts;
  • ›depicts animal cruelty or violence towards animals;
  • ›promotes fraudulent schemes or gives rise to claims of deceptive advertising or unfair competition; or
  • ›violates any law, statute, or regulation.
  • ›You may not use any content on FinChip's platform ("FinChip Content") for any purpose without first obtaining consent to use that content. Any use of FinChip Content by you is governed by the applicable agreement separately entered into between you, FinChip, and the respective content owner or owners. Displaying, distributing to the public, or otherwise using any FinChip Content, whether alone or incorporated into a derivative work, without prior consent constitutes copyright infringement.

2. Specific Terms of Use

User Responsibilities

  • ›Account Creation: To access certain features of FinChip's services and products, you may be required to create an account at some point in the process. You agree to provide accurate, current, and complete information during registration and to update that information so that it remains accurate, current, and complete.
  • ›Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify FinChip immediately of any unauthorized use of your account or any other breach of security.

User Representations

You represent and warrant that:

  • ›you own or control all assets that you transact on FinChip's platform;
  • ›you will comply with FinChip's Terms of Use, Privacy Policy, Disclaimer, other terms and policies, and all applicable laws and regulations.

User Content

  • ›FinChip may allow you to submit, post, or display content, including but not limited to text, photos, videos, or other materials, collectively "User Content".
  • ›Users own the User Content that they upload themselves.
  • ›You retain all rights in, and are solely responsible for, the User Content you post on FinChip's platform or through its services and products.

User Content Representations

You represent and warrant that:

  • ›you own or control all rights in and to the User Content and have the right to grant the license described above;
  • ›all of your User Content does and will comply with FinChip's Terms of Use, Privacy Policy, Disclaimer, other terms and policies, and all applicable laws and regulations;
  • ›your User Content will not infringe, misappropriate, or violate any third party's intellectual property rights or any law or regulation; and
  • ›your User Content will not include any Prohibited Conduct listed in this Terms of Use and will not violate any Restrictions listed in this Terms of Use.

User Content Disclaimer

FinChip does not endorse any User Content or any opinion, recommendation, or advice expressed in it, and FinChip expressly disclaims any and all liability in connection with User Content.

Restrictions

You may not:

  • ›modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from FinChip's platform;
  • ›use FinChip's services and products for any commercial purpose without our written consent;
  • ›access, monitor, or copy any content or information using any robot, spider, scraper, automated means, or manual process for any purpose without our express written permission;
  • ›violate the restrictions in any robot exclusion headers on FinChip's platform or bypass measures used to prevent or limit access to the platform;
  • ›take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure;
  • ›deep-link to any portion of FinChip's platform for any purpose without our express written permission; or
  • ›"frame," "mirror," or otherwise incorporate any part of FinChip's platform into another website without our prior written authorization.

Prohibited Conduct

You agree not to:

  • ›use FinChip's services and products for any illegal or unauthorized purpose;
  • ›use FinChip's platform to transmit any viruses, worms, defects, Trojan horses, or other destructive items;
  • ›interfere with or disrupt the integrity or performance of FinChip's platform or its content;
  • ›attempt to gain unauthorized access to FinChip's platform or related systems or networks;
  • ›impersonate or attempt to impersonate FinChip, its employees, another user, or any other person or entity;
  • ›engage in conduct that restricts or inhibits anyone's use or enjoyment of FinChip's platform; or
  • ›encourage or enable any other individual to do any of the foregoing.

Indemnification

You agree to defend, indemnify, and hold harmless FinChip, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees, including reasonable attorneys' fees, arising out of or related to your conduct, your use or inability to use FinChip's platform, your breach or alleged breach of this Terms of Use or any representation or warranty contained herein, your unauthorized use of FinChip's platform, or your violation of any rights of another.

Limitation of Liability

IN NO EVENT SHALL FINCHIP, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE FINCHIP'S PLATFORM, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT, OR OTHERWISE, AND EVEN IF FINCHIP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
